01 access & use
- Access to the management software (Odoo 19) is via browser, provided an internet connection is available.
- The access address is typically
{client}.opencloud.pro(or a hostname agreed in writing). - Access is controlled by login and password set by the Client / Opencloud.
- Planned maintenance is communicated with as much notice as possible and, whenever feasible, outside business hours.
02 responsibilities

- Keep access to the management software active, except for Client breach or force majeure.
- Provide admin-level access when contracted.
- Provide technical support by phone, email, chat or portal, as per the pack.
- Ensure database backups and make them available to the Client on request.
- Ensure confidentiality of data and security of access limited to users defined by the Client.

- Pay monthly fees and agreed one-shots on time.
- Keep software, data and database credentials confidential.
- Hosting/support may include certified AT invoicing when contracted (PT addons).
- The Client may not alter the installed solution without prior Opencloud authorisation.
- Code developed or installed by Opencloud remains Opencloud property unless otherwise agreed in writing; it may not be copied or used without authorisation.
- Tasks are considered complete when accepted by the Client, or 15 days after implementation without contrary notice.
- The contract renews annually and may include price updates subject to mutual approval.
03 odoo 19 · editions
- Opencloud hosting services target Odoo 19 instances (or an agreed version), typically managed on-premises.
- Community — open-source licence; no Odoo SA licence fee in the Opencloud total.
- Enterprise — the licence is paid by the Client directly to Odoo SA. Any price preview on the site is indicative and is not part of the Opencloud total.
- Modules, PT addons and customisations follow the accepted loadout / quotation.
- Security and minor/patch updates are managed by Opencloud within the pack; major upgrades may be quoted as a one-shot.
04 pack builder · quotes
- The on-site pack builder is a configuration and quotation tool — it is not a contract until written acceptance / invoice.
- Monthly prices (odoo, ai, cloud, etc.) follow the selected loadout; billing is monthly or yearly as chosen.
- Consulting and Dev are one-shot on request: the cart brief lets Opencloud propose a fee; they are not included in the monthly total.
- Quotations sent after checkout are valid as stated (or 30 days if omitted).
05 travel
- Opencloud travel outside its premises is billed separately.
- The amount considers distance, time and extra costs (tolls, lodging, etc.).
- Wherever possible, the Client is informed in advance (initial quote or estimate).
06 use of ai
- Opencloud uses AI tools in development, support and some communications.
- AI supports and speeds up processes; human oversight and Opencloud’s final responsibility remain.
- The Client accepts that deliverables, support or content may involve AI assistance, without prejudice to confidentiality and quality.
- AI does not transfer Client IP or improperly disclose confidential information beyond what is needed for the tools under appropriate conditions.
07 contact · law
- Questions about these terms: geral@opencloud.pro or /contact.
- Governing law: Portugal. Venue: courts of the district of Opencloud’s registered office, without prejudice to mandatory consumer-protection rules.
- Version aligned with the Odoo 19 catalogue / pack builder on the site. If it conflicts with a signed quotation, the quotation prevails.
08 award · refunds
- The award / kickoff payment (first payment for implementation, consulting or development — sometimes called a deposit or advance) reserves calendar, planning and project start. It is not money held in trust until work «has not yet begun».
- That amount covers start-up cost: meetings, discovery, environment, people allocated, and other work turned down to fit the project. It is not an unused hour pack.

- The Client cancels in writing within 7 calendar days of paying the award amount, and work has not started (kickoff meeting, discovery, environment, development, configuration, or booked travel).
- Mistaken transfer: overpayment (the excess is returned), duplicate payment, or payment of an invoice / tax ID that is not the Client’s.
- Opencloud cannot or decides not to start the project.
- Money arrived against an expired or never-accepted quotation — the mistake is corrected.

- Work has started — even if the Client only paid the award amount and Opencloud has already spent hours, meetings or resources.
- 7 calendar days have passed since payment: the calendar was reserved, whether or not «implementation hours» were logged.
- The Client dislikes the system after work started, or asks for a refund because they «never came to like it».
- The Client switches partner or software, or leaves, and later asks for the award amount back.
- The project stalls for lack of Client data, access or decisions, and the Client then cancels.
- The request arrives after the 15-day window in section 02 (task accepted without contrary notice).
- Hosting or support fees for periods already elapsed.
- Third-party licences and services (including Odoo SA): Opencloud does not refund them.
- Unused hour packs may be credited by written agreement; that does not include the award amount.
// how to ask
- Write to geral@opencloud.pro with the invoice number, the payer’s IBAN and the reason.
- Opencloud replies within 10 business days.
- If a refund is due: credit note and a transfer to the original payer’s IBAN.
